End User License Agreement

This End User License Agreement (the "EULA") supplements the Terms of Service and governs the license to access and use the software and other components that make up the Resolute Security platform(the "Service"). Resolute Security LLC ("Resolute Security," "we," "us") grants you ("you," the "customer") the rights described below only while you are bound by the Terms of Service. By accessing or using the Service you accept this EULA; if you do not agree, do not access or use the Service. Capitalized terms not defined here have the meaning given in the Terms of Service.
1. License grant
Subject to your compliance with this EULA, the Terms of Service, and the Acceptable Use Policy, Resolute Security grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your own internal business purposes during the term of a paid or otherwise active subscription. This is a license to use the Service as a hosted offering; no copy of the underlying software is sold or otherwise transferred to you, and all rights not expressly granted are reserved by Resolute Security and its licensors.
2. License restrictions
Except to the extent expressly permitted by this EULA, the documented public API, or applicable law that cannot be contractually waived, you will not, and will not permit any third party to:
- copy, modify, translate, or create derivative works of the Service or any of its software or content;
- distribute, sell, resell, rent, lease, lend, sublicense, time-share, or otherwise make the Service available to any third party, whether as a service bureau or otherwise;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Service, except, and only to the extent, that this restriction is prohibited by applicable law;
- scrape, crawl, or perform automated or bulk extraction of data from the Service beyond the access expressly provided through the documented public API;
- circumvent or attempt to circumvent any rate limit, quota, usage restriction, access control, or other security or technical measure;
- remove, obscure, or alter any proprietary notice, label, or attribution on or within the Service;
- use the Service, or any of its output, scan logic, detection rules, or models, to build, train, or improve any product, service, or machine-learning model that competes with the Service; or
- publicly disclose any benchmark, performance, or comparison test of the Service without our prior written consent.
3. Intellectual property and ownership
The Service is licensed, not sold. As between you and Resolute Security, Resolute Securityand its licensors own and retain all right, title, and interest in and to the Service, including the software, scanners, detection and scoring logic, models, report and policy templates, documentation, and the "look and feel," together with all related intellectual-property rights. No rights are granted to you except for the express license set out in this EULA, and no license is granted by implication, estoppel, or otherwise.
4. Customer data and generated outputs
You retain ownership of the data, domains, files, and other materials you submit to the Service ("Customer Data"). You grant Resolute Security the limited, non-exclusive license to host, process, transmit, and display Customer Data as necessary to operate and provide the Service, as further described in our Privacy Policy. The reports, exports, PDFs, and other outputs the Service generates from your Customer Data are yours to use for your own internal, security, and compliance purposes, subject to the restrictions in Section 2 and the rights Resolute Security retains in the templates and underlying logic used to produce them.
5. Feedback
If you choose to provide suggestions, ideas, enhancement requests, or other feedback about the Service ("Feedback"), you grant Resolute Security a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, and otherwise exploit the Feedback for any purpose, without any obligation or compensation to you. Feedback is provided voluntarily and is not your Confidential Information.
6. Third-party and open-source components
The Service incorporates third-party and open-source software and relies on third-party service providers, each of which is provided under its own license or terms. Those terms govern your use of the applicable component to the extent they conflict with this EULA. A current list of the providers that process customer data on our behalf is published on our sub-processors page.
7. Beta and preview features
We may make features identified as beta, preview, early-access, or experimental available to you. These features are provided "AS IS" and "AS AVAILABLE," may be changed, suspended, or withdrawn at any time, may be less reliable than generally available features, and may be subject to additional terms presented when you access them. We have no obligation to make any beta or preview feature generally available.
8. Export controls and sanctions
You will comply with all applicable export-control and sanctions laws, including the U.S. Export Administration Regulations (EAR) and the trade and economic sanctions administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You represent and warrant that you are not a denied, restricted, or prohibited party under any applicable list, that you are not located in or ordinarily resident in a country or region subject to comprehensive U.S. embargoes, and that you will not access or use the Service in violation of those laws or export, re-export, or transfer the Service to any prohibited destination, party, or end use.
9. U.S. Government end users
The Service and its software are "Commercial Computer Software" and the related documentation is "Commercial Computer Software Documentation," as those terms are used in Federal Acquisition Regulation (FAR) 12.212 and Defense Federal Acquisition Regulation Supplement (DFARS) 227.7202. If you are, or are acquiring the Service on behalf of, an agency or instrumentality of the U.S. Government, the Government receives only those rights in the Service granted to all other customers under this EULA, consistent with FAR 12.212 and DFARS 227.7202.
10. Term and termination of the license
The license granted in this EULA begins when you first access the Service and continues for as long as your subscription remains active. It terminates automatically, without notice, when your subscription ends or expires, or upon your breach of this EULA, the Terms of Service, or the Acceptable Use Policy. On termination of the license you must stop all access to and use of the Service. For information about exporting or deleting your data after termination, see your data rights.
11. Relationship to other agreements
This EULA supplements, and does not replace, the Terms of Service and the Acceptable Use Policy. If there is a conflict between this EULA and the Terms of Service, the Terms of Service control, unless a signed order form or written agreement between you and Resolute Security expressly states otherwise.
12. Disclaimers, liability, and contact
The Service is provided "AS IS" without warranties of any kind, and Resolute Security's liability is limited, in each case as set out in the "No warranties" and "Limitation of liability" sections of the Terms of Service, which are incorporated into this EULA by reference and are not restated here.
